ChargeWise End-User Licence Agreement (EULA)

Important Notice
PLEASE READ THIS END-USER LICENSE AGREEMENT CAREFULLY BEFORE USING THE CHARGEWISE SOFTWARE AND SERVICES. BY CLICKING "I ACCEPT," DOWNLOADING, INSTALLING, OR USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT.
IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SOFTWARE AND IMMEDIATELY UNINSTALL OR DISCONTINUE USE OF THE CHARGEWISE PLATFORM.
1. Agreement Overview
1.1 Parties
This End-User License Agreement ("EULA" or "Agreement") is a legal agreement between:
- You (the "User," "Licensee," or "you") - the individual or entity using the ChargeWise software.
- “ChargeWise" Ltd., UIC:207687862, a limited liability company registered under the laws of Bulgaria ("ChargeWise," "we," "us," or "our") - the provider of the ChargeWise platform.
1.2 Software Coverage
This EULA governs your use of:
- ChargeWise Admin Application (web-based platform for B2B clients).
- ChargeWise Web Application (web-based platform for end users).
- Future Mobile Applications (iOS and Android apps).
- Associated Documentation and user materials.
- Platform APIs and integration tools.
Collectively referred to as the "Software" or "Platform."
1.3 Relationship to Other Documents
This EULA supplements and should be read together with:
- ChargeWise Terms & Conditions.
- ChargeWise Privacy Policy.
- Any applicable Master Service Agreement (for B2B clients).
2. Grant of License
2.1 License Grant
Subject to your compliance with this EULA, ChargeWise grants you a limited, non-exclusive, non-transferable, revocable license to:
For B2B Clients:
- Access and use the Admin Application to create and manage loyalty programs.
- Configure reward structures and incentive programs.
- Access analytics and reporting features.
- Manage customer engagement tools.
For End Users:
- Access and use the Web Application to participate in loyalty programs.
- Track earned points and redemption history.
- Convert points to rewards and vouchers.
- View charging activity and program benefits.
- For End Users, the license is solely for personal, non-commercial use in connection with participation in Client loyalty programs.
- For B2B Clients, the license is solely for internal business purposes consistent with the applicable Master Service Agreement.
For All Users:
- Use the Software solely for its intended purpose as a loyalty program management platform.
- Access documentation and support materials.
- Receive software updates and enhancements.
2.2 License Restrictions
You may NOT:
- Copy, modify, or create derivative works of the Software.
- Reverse engineer, decompile, or disassemble the Software.
- Distribute, sublicense, rent, lease, or lend the Software to third parties.
- Use the Software for any unlawful or prohibited purpose.
- Remove or alter any proprietary notices or labels.
- Access the Software through unauthorized means or bypass security measures.
2.3 Reservation of Rights
All rights not expressly granted to you are reserved by ChargeWise. This license does not grant you any ownership rights in the Software or any intellectual property rights.
3. User Types and Specific Terms
3.1 B2B Client License
Scope: B2B clients receive additional rights to:
- Create multiple loyalty programs for their customers.
- Access administrative controls and configurations.
- Integrate with existing business systems (where supported).
- Utilize advanced analytics and reporting features.
Restrictions: B2B clients may not:
- Use the platform to serve competitors' customers without written permission.
- Create programs that violate applicable laws or regulations.
- Share administrative access with unauthorized third parties.
- Use the platform beyond the scope of their service agreement.
3.2 End User License
Scope: End users may:
- Participate in loyalty programs created by authorized B2B clients.
- Accumulate and redeem points according to program rules.
- Access personal account information and transaction history.
- Receive notifications and communications related to their participation.
Restrictions: End users may not:
- Create multiple accounts to manipulate point earning.
- Share account credentials with other individuals.
- Use the platform for commercial or business purposes.
- Attempt to access administrative features or other users' data.
3.3 Mobile Application License
When mobile applications become available:
- This EULA will apply to mobile versions of the Web Application.
- Additional platform-specific terms may apply (Apple App Store, Google Play).
- Mobile-specific permissions (location, camera, notifications) will be governed by separate consent mechanisms.
4. Intellectual Property Rights
4.1 ChargeWise Ownership
ChargeWise owns all rights, title, and interest in:
- The Software and all components thereof.
- All algorithms, source code, and proprietary technology.
- Trademarks, service marks, and brand elements.
- Documentation, user interfaces, and visual designs.
- Platform data structures and database schemas.
4.2 User Data Rights
Your Data: You retain ownership of personal information you provide to ChargeWise.
Generated Data: Data generated through your use of the platform (analytics, usage patterns) may be used by ChargeWise in an aggregated, anonymized form.
Loyalty Program Data: Points, rewards, and program participation data are managed according to the specific program terms created by the relevant B2B client.
4.3 Feedback and Suggestions
Any feedback, suggestions, or improvement ideas you provide to ChargeWise may be used by us without compensation or attribution, and you waive any rights to such feedback.
5. Software Updates and Maintenance
5.1 Automatic Updates
ChargeWise may automatically download and install updates to:
- Improve security and fix vulnerabilities.
- Add new features and functionality.
- Enhance performance and user experience.
- Ensure compliance with applicable laws and regulations.
5.2 Update Consent
By using the Software, you consent to automatic updates.
5.3 Maintenance and Downtime
ChargeWise may perform scheduled maintenance that temporarily interrupts service. We will provide reasonable advance notice when possible and minimize disruption to your use.
6. User Responsibilities and Conduct
6.1 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials.
- Ensuring authorized use of your account only.
- Promptly notifying us of any security breaches or unauthorized access.
- Use strong passwords and enable available security features.
6.2 Lawful Use
You agree to use the Software only for lawful purposes and in compliance with:
- All applicable local, national, and international laws.
- This EULA and our Terms & Conditions.
- Specific loyalty program terms (for end users).
- Professional and ethical standards (for B2B clients).
6.3 Prohibited Activities
You may not use the Software to:
- Violate any laws or regulations;
- Infringe on third-party intellectual property rights;
- Transmit harmful, offensive, or illegal content;
- Interfere with platform operations or other users;
- Collect or harvest user information without authorization;
- Create fake accounts or misrepresent your identity.
6.4 System Requirements
You are responsible for:
- Ensuring your devices meet minimum system requirements.
- Maintaining compatible web browsers and internet connectivity.
- Installing necessary software updates and security patches.
- Providing adequate hardware and network resources.
7. Platform Availability and Performance
7.1 Service Availability
ChargeWise strives to maintain high platform availability, but does not guarantee:
- Uninterrupted or error-free operation.
- Compatibility with all devices or software configurations.
- Continuous availability of all features.
- Specific performance levels or response times.
7.2 Third-Party Dependencies
The Software may depend on third-party services for:
- Payment processing and financial transactions.
- Analytics and performance monitoring.
- Communication and notification services.
- Integration with the charging infrastructure.
We are not responsible for the availability or performance of third-party services.
7.3 Geographic Limitations
The Software may not be available in all countries or regions due to:
- Legal or regulatory restrictions.
- Technical limitations or infrastructure requirements.
- Business considerations or strategic decisions.
8. Privacy and Data Protection
8.1 Data Collection
By using the Software, you acknowledge that ChargeWise collects:
- Personal information as described in our Privacy Policy.
- Usage data and analytics information.
- Charging session data (for loyalty program participants).
- Technical information about your device and software use.
8.2 Data Processing
Your personal data is processed according to:
- Our Privacy Policy (incorporated by reference).
- Applicable data protection laws (GDPR, CCPA, etc.).
- Your consent preferences and choices.
- Legitimate business interests for platform operation.
8.3 Cookies and Tracking
The Software uses cookies and similar technologies as described in our Cookie Policy. You can manage your cookie preferences through your browser settings or our cookie preference center.
9. Disclaimers and Limitations
9.1 Software Disclaimers
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.
ChargeWise disclaims all warranties, whether express, implied, or statutory, including:
- Warranties of merchantability and fitness for a particular purpose.
- Warranties of non-infringement and title.
- Warranties that the Software will be error-free or uninterrupted.
- Warranties regarding third-party content or services.
9.2 Loyalty Program Disclaimers
ChargeWise does not guarantee:
- Availability or continuity of specific loyalty programs.
- Point values, reward availability, or redemption rates.
- Compatibility with all charging infrastructure or vehicles.
- Specific benefits or outcomes from program participation.
9.3 Third-Party Content
We are not responsible for:
- Content, products, or services provided by third parties.
- Accuracy or reliability of third-party information.
- Actions or policies of B2B clients or their loyalty programs.
- Integration failures with third-party systems.
10. Limitation of Liability
10.1 Liability Limitations
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHARGEWISE SHALL NOT BE LIABLE FOR:
- Indirect Damages: Lost profits, business interruption, loss of data, or consequential damages.
- Punitive Damages: Exemplary or punitive damages of any kind.
- Third-Party Claims: Claims arising from third-party content or services.
- Program Changes: Modifications or termination of loyalty programs by B2B clients.
10.2 Maximum Liability
Our total liability to you for any claims arising from these Terms or your use of the Service shall not exceed the amount paid by you (if any) for the Service in the 6 months preceding the claim.
10.3 Exceptions
These limitations do not apply to:
- ChargeWise's willful misconduct or gross negligence;
- Violation of intellectual property rights;
- Death or personal injury caused by our negligence;
- Liability that cannot be excluded under applicable law.
11. Indemnification
11.1 User Indemnification
You agree to defend, indemnify, and hold harmless ChargeWise from claims arising from:
- Your use of the Software in violation of this EULA.
- Your violation of applicable laws or third-party rights.
- Content you submit or transmit through the Software.
- Your negligent or wrongful acts related to the Software.
11.2 Process
ChargeWise will:
- Promptly notify you of any claims subject to indemnification.
- Allow you to control the defense and settlement of claims.
- Provide reasonable cooperation in the defense of claims.
12. Termination
12.1 Termination Rights
ChargeWise may terminate this license:
- Immediately for material breach of this EULA.
- Upon termination of the underlying service agreements.
- For non-payment of applicable fees.
- At any time, with 30 days' notice to end users.
You may terminate this license:
- At any time by discontinuing use of the Software.
- By deleting your account through platform settings.
- By providing written notice to ChargeWise.
12.2 Effect of Termination
Upon termination:
- Your license to use the Software immediately expires.
- You must cease all use and uninstall any downloaded Software.
- ChargeWise may delete your account and associated data.
- Loyalty program participation may be terminated (subject to program terms).
12.3 Survival
The following provisions survive termination:
- Intellectual property rights and ownership.
- Limitation of liability and disclaimers.
- Indemnification obligations.
- Confidentiality requirements.
13. Export Controls and Compliance
13.1 Export Restrictions
You acknowledge that the Software may be subject to export control laws and agree not to:
- Export or re-export the Software to prohibited countries.
- Use the Software in violation of trade sanctions.
- Provide access to individuals on government restriction lists.
13.2 Compliance Certification
You represent that you are not:
- Located in or a resident of any embargoed country.
- Listed on any government sanctions or restriction list.
- Otherwise prohibited from receiving the Software under applicable law.
14. Mobile Application Specific Terms
14.1 App Store Terms
When mobile applications become available:
Apple App Store:
- Subject to Apple's Licensed Application End User License Agreement.
- Apple is not responsible for the Software or support services.
- Apple may enforce this EULA as a third-party beneficiary.
Google Play Store:
- Subject to Google Play Terms of Service.
- Google is not responsible for the Software or support services.
- Additional Google Play policies may apply.
14.2 Mobile Permissions
Future mobile applications may request:
- Location Services: To find nearby charging stations.
- Camera Access: To scan QR codes for authentication.
- Push Notifications: For loyalty program updates and alerts.
- Storage Access: For offline functionality and data caching.
15. Governing Law and Dispute Resolution
15.1 Governing Law
This EULA is governed by the laws of the Republic of Bulgaria, without regard to conflict of law principles.
15.2 Jurisdiction
Any legal proceedings arising from this EULA shall be brought exclusively in the courts of Sofia, Bulgaria.
15.3 Dispute Resolution Process
Before initiating legal proceedings, parties agree to:
- Attempt good faith negotiations for 30 days.
- Consider mediation through an agreed neutral mediator.
- Exhaust all reasonable alternative dispute resolution methods.
15.4 Class Action Waiver
You agree to resolve disputes individually and waive any right to participate in class action lawsuits or collective proceedings, except where prohibited by law.
16. Age Requirements and Capacity
16.1 Minimum Age
You must be at least 18 years old to use the Software. By accepting this EULA, you represent that you meet this age requirement.
16.2 Legal Capacity
You represent and warrant that:
- You have the legal capacity to enter into this binding agreement.
- You are authorized to accept this EULA on behalf of your organization (if applicable).
- Your use of the Software does not violate any other agreements you have entered into.
16.3 Parental Consent
If you are between 16-18 years old (where legally permitted), you must have parental or guardian consent to use the Software.
17. Updates and Modifications
17.1 EULA Updates
ChargeWise may update this EULA to reflect:
- Changes in Software functionality or features.
- Updates to applicable laws and regulations.
- Improvements in user protection and rights.
- Business or operational changes.
17.2 Notice of Changes
We will notify you of EULA updates by:
- Posting updated terms on our platform.
- Requiring acceptance of new terms upon Software access.
- Sending email notifications for material changes.
- Providing in-platform notifications.
17.3 Continued Use
Your continued use of the Software after EULA updates constitutes acceptance of the revised terms.
18. International Use and Localization
18.1 Multi-Jurisdictional Compliance
The Software is designed to comply with data protection and consumer laws in multiple jurisdictions, including:
- European Union (GDPR compliance).
- United States (state and federal regulations).
- Other countries where ChargeWise operates.
18.2 Localization
Where required by local law, we can provide:
- Translated versions of this EULA.
- Local customer support and contact information.
- Compliance with regional consumer protection requirements.
- Appropriate data residency and transfer safeguards.
19. Technical Support and Maintenance
19.1 Support Services
ChargeWise provides:
- Technical support for Software functionality issues.
- Documentation and user guides.
- Platform maintenance and security updates.
- Bug fixes and performance improvements.
19.2 Support Limitations
Support does not include:
- Training on loyalty program strategy or business optimization.
- Customization beyond standard platform features.
- Integration with unsupported third-party systems.
- Recovery of data lost due to user error.
19.3 Support Channels
Technical support is available through:
- In-platform help systems and documentation.
- Email support at support@chargewise.global.
- Online knowledge base and FAQ resources.
- Priority support for B2B clients (per service agreement terms).
20. Compliance and Regulatory Requirements
20.1 Industry Compliance
The Software is designed to support compliance with:
- eMobility industry standards and best practices.
- Energy sector regulations and reporting requirements.
- Consumer protection laws for loyalty programs.
- Financial regulations for reward and incentive programs.
20.2 User Compliance Obligations
You agree to:
- Use the Software in compliance with applicable industry regulations.
- Ensure loyalty programs comply with local consumer protection laws.
- Maintain necessary licenses and permissions for your business operations.
- Cooperate with regulatory inquiries related to platform use.
21. Force Majeure
21.1 Excused Performance
Neither party shall be liable for delays or failures in performance due to circumstances beyond reasonable control, including:
- Natural disasters, pandemics, or acts of God.
- Government actions, regulations, or legal restrictions.
- Network failures, cyberattacks, or infrastructure disruptions.
- Labor strikes, supply chain disruptions, or vendor failures.
21.2 Mitigation Efforts
During force majeure events, ChargeWise will:
- Use reasonable efforts to minimize service disruption.
- Provide updates on restoration efforts.
- Implement workarounds where technically feasible.
- Resume normal operations as soon as reasonably possible.
22. Entire Agreement and Severability
22.1 Complete Agreement
This EULA, together with referenced ChargeWise policies and any applicable service agreements, constitutes the complete agreement between you and ChargeWise regarding the Software.
22.2 Severability
If any provision of this EULA is found unenforceable:
- The unenforceable provision will be modified to the minimum extent necessary.
- All other provisions remain in full force and effect.
- The overall intent and enforceability of the EULA are preserved.
22.3 No Waiver
ChargeWise's failure to enforce any provision of this EULA does not constitute a waiver of that provision or any other rights.
23. Special Provisions for Different User Types
23.1 Enterprise and Business Users
For B2B clients with enterprise agreements:
- Additional security and compliance requirements may apply.
- Service level agreements may supplement this EULA.
- Custom terms may be negotiated separately.
- Enhanced support and consultation services may be available.
23.2 Individual End Users
For individual participants in loyalty programs:
- Consumer protection laws provide additional rights.
- Simplified termination and data deletion procedures apply.
- No payment obligations to ChargeWise (programs are client-sponsored).
- Right to complain to consumer protection authorities.
23.3 API and Developer Users
For users accessing ChargeWise APIs:
- Additional developer terms and rate limits apply.
- API documentation constitutes part of this EULA.
- Separate API keys and authentication are required.
- Usage monitoring and compliance reporting may apply.
- Access to the Admin Application for creating and configuring loyalty programs.
- Tools to set charging incentives and reward structures.
- Analytics and reporting capabilities.
- Customer engagement management features.

Acceptance
BY USING THE CHARGEWISE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS EULA, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS.
If you do not agree to these terms, you must immediately discontinue use of the Software and may be entitled to a refund under our applicable refund policy.
